01
The structure,
plainly.
Three levels, each holding a different kind of risk, each funded by a different kind of investor.
Level 01
The platform company
Owns the platform, the design, the partnerships and the economic rights across every hub. Not a single-project vehicle — the operating company itself.
Level 02
The hub vehicles
One company per hub, subject to that hub’s final structure. It holds the site rights and the equipment for that hub. Its funding is project-specific: project equity or a joint venture, and where a land contribution fits, land may enter as equity.
Future option
Not part of the current plan
A portfolio-level capital option may be assessed later only after operating assets, legal structuring and regulatory conditions justify separate disclosure.
Separating them matters. A lender to one hub is lending against that hub. An owner of the platform company owns the platform. Those are different propositions and they are kept apart deliberately.
02
How a hub
gets paid for.
Structure only. Proportions and pricing are negotiated per site and per counterparty, and are not published.
| Source | Role | What it is |
|---|---|---|
| Platform equity | Founding layer | Long-duration HoldCo equity that funds the platform, first-hub readiness and the platform contribution to each hub. |
| Project equity | Hub layer | Equity from the platform and aligned co-investors, raised for a specific hub against its site and engineering plan. |
| Contributed land | Site-specific | Where suitable, a counterparty may contribute land as project equity under terms documented for that vehicle. |
| Strategic co-investment | Optional | Partner capital that adds capability or strengthens delivery of a particular hub. |
The current strategy is equity-first: capital is matched to the platform and the hub it supports, without relying on a refinancing event or a lender timetable. Debt, equipment finance or partner contributions may be considered for a specific hub only where its agreements allow. No single source is assumed to fund the whole programme.

03
A future option,
kept open.
Equity funds the platform today. Any future capital path must be earned by operating evidence, not announced in advance.
Current position
Equity-first, by design.
Founding capital and hub capital are conventional equity, agreed privately by the relevant counterparties.Future boundary
No token exists or is promised.
The board may consider a portfolio-level option only after operating assets, legal structure and regulatory conditions support a separate decision and disclosure. There are no issuance terms, holder rights, settlement arrangements, governance mechanics or timetable to publish today.
04
Four stages.
Clear gates.
Capital follows evidence, not a calendar. No stage is a promise about a date.
| Stage | Capital considered | May proceed when |
|---|---|---|
| I · Foundation | Platform-company equity | In progress now. It builds the platform and prepares candidate projects. |
| II · The First Hub | Project capital for one defined hub | Land, design, permits, workload plan, contracts and capital structure are defined and approved. |
| III · Portfolio Phase A | A separate decision for each site | The first hub gives evidence from construction, commissioning and operation. |
| IV · Portfolio Phase B | A refreshed financing plan | The platform has the people, systems, pipeline, capital and governance to run many hubs. |
A gate is a decision point, not an automatic release of capital. At each gate the platform can proceed, revise or stop. A later stage may use a different entity, investor group or instrument. Any later capital option is outside the plan unless separately approved.
Amounts, valuations, minimum participations, dilution, fees and return targets are not published on this site. They are set only in a separately approved offering schedule and the formal documents, shared directly under non-disclosure.
